LTD company was set up five years ago, you do not need TC partner nor do you need 100,000USD when you buy an exsisting company, their are three parts to this i will either sell the LTD company or the business or both together Please reply via this site for more information. There was a post eariler saying to check weather the company was in debt or not this is almost impossible as a forigner can not obtain debt in this country.

The business at the moment is a salon but you can add what you want to the business for a fee of around 30 ytl and yes you do need 2 people 1 is the managing director and the other is a company secretary

from my experience you can indeed find if the company is in debt, and yes a foreigner can be in debt - with SSig and Iht, Vergi etc. This is FACT. An accountant or lawyer can make these enquiries to find out.

If you are transferring the company to someone else, there is the share transfer tax to pay and depending on size and share allocation within that company then the amount can differ.

Your Tuzluk documents (Memortadums and Articles) of the company dictate what the company operates as, so you can't just go changing it without amending these documents, and this requires a lawyer and court time. I have had personal experience of this also.

Once a company has been transferred, then the Sirketler in Lefkosa (Companies House) has to be notified of direct/co. sec names, address change of the business if that has been altered. They will then issue new Onay Belgesi papers (Company Papers) with all the new information. You then need to give copies of these to the Tax Office as well I believe.

So, its not just a case of buying a company from someone, there is a lot to investigate.

As people have mentioned before, unless a company is related to land and building, there is no 10k bond and no TC Director, but as far as my experience goes which happened maybe when the rules were different, we had to have a 5,000ytl bond at the bank anyway.

Believe me, anyone thinking of taking over an existing company, needs to make sure that they have done due diligence.

It more than likely will be fully ligitimate, but for example, if the owner says there is no debt, and your accountant/lawyer confirms this, they would still not be aware of any private agreements in place with third parties where monies have been a party to it. This third party may, down the line, choose to search out the owner of that company. So, you can still only do so much to ensure its safe.

The choice is yours, and believe me, I know what I am talking about.

yes, i'm trying to sell my ltd company,same position as u,bought 4yrs ago, no debt owed! bargain really as think how much hassle it is now to set one up, and the money you have to put by before u can trade!

You can add a subsidiary company to an exsisting Ltd co, no you might not be able to sell land or houses but their are a lot of other business you can do if you use your imagination as for changing ownership of the company yes this dose take time as dose everything in cyprus but your accountant should handle all of this, as for debt on the company weather in england or cyprus you would always search for debt but as i said before i have been here five years and found when renewing your business permit all tax and insurance has to be paid in full before they will allow you to renew, as for personal debt i belive it to be almost impossible for a foreigner. This is still the cheapest way to set up your own company.

Selling a ltd co is not easy anywere, especialy when people try to put a downer on it. What these people dont relise is that this is the cheapest way to set up a ltd company in cyprus, if you wanted a ltd compny in england you could go to companys house and buy one for around £100, nobody puts a downer on that do they. Some of us have worked hard in our business and succeded, we are selling our companys so we can move on elsewere, not because there is somthing wrong with it. Just wanted to give you some moral support and wish you luck

On transferring the company to another party, how much would the share transfer tax be? Would this be dependant on the amount in which you sell the business and should i be intersted would i be liable to pay this or would you cover these expenses?
